Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Colekte platform ("Colekte", "we", "us"), operated by JRiSpace. By creating an account or using Colekte, you agree to these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By registering for, accessing, or using Colekte — including our website builder, hosting, domain management, and payment features — you enter into a legally binding agreement with JRiSpace. If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.
2. Accounts & Eligibility
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the confidentiality of your login credentials, including accounts connected via Google OAuth.
- You must provide accurate information and keep it up to date.
- You are responsible for all activity that occurs under your account.
3. The Service
Colekte provides a multi-tenant content management platform that allows businesses and organizations to create, publish, and host websites, connect custom domains, and process online orders and payments. The Service includes:
- Website builder, pages, posts, and media storage;
- Managed hosting with SSL certificates;
- Custom domain connection and DNS management;
- Optional payment processing for transactions made through your site;
- Multi-language publishing (English, French, Haitian Creole, Spanish).
We may update, modify, or discontinue features at any time with reasonable notice. We are not responsible for the content, legality, or accuracy of the websites you publish using the Service.
4. Pricing & Billing
- Transaction model (restaurants, shops): a fee of 7% of each sale processed through your site. No monthly fee applies. Setup is free.
- Subscription model (schools, churches, clinics, organizations): a flat recurring monthly or annual fee, billed in advance. Setup is free.
- Optional add-ons (premium templates, integrations, professional services) are billed separately as agreed at purchase.
- All amounts are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your sales.
- Prices may change with 30 days' notice; changes apply to the next billing cycle.
5. Payments & Non-Payment
- Payments are processed by our payment partners (e.g., Stripe). You agree to their terms when you transact.
- Transaction fees are deducted automatically from each processed sale.
- Subscription fees are charged automatically to your payment method on file.
- If a subscription payment fails, your website remains live, but advanced tools (ordering, billing features, and admin extras) may be restricted until payment is restored. We call this "operational restriction" — we do not take your site offline for a missed payment.
- Refunds for subscription fees are issued at our discretion within the first 14 days of a new subscription where allowed by law. Transaction fees on completed sales are non-refundable.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe the intellectual property, privacy, or other rights of any third party;
- Publish unlawful, fraudulent, deceptive, hateful, or otherwise harmful content;
- Send spam or unsolicited communications;
- Distribute malware or attempt to compromise the security or integrity of the platform;
- Attempt to access another tenant's data or interfere with other users' sites;
- Resell or sublicense the Service as a hosting platform.
We reserve the right to suspend or terminate accounts that violate these rules.
7. Your Content
- You retain all rights to the content you upload or create on Colekte.
- You grant us a limited, non-exclusive license to host, display, and distribute your content solely to provide the Service (serving your website to visitors).
- You represent that you have all rights necessary for the content you publish.
- We may remove content that violates these Terms or applicable law.
8. Third-Party Services
Colekte integrates with third-party services, including Google (sign-in via Google OAuth), Stripe (payments), and Supabase (database and authentication infrastructure). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability or actions of third-party services.
9. Intellectual Property
Colekte, its branding, design, templates, and underlying software are the property of JRiSpace and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Service and its templates for your own website. You may not copy, modify, or redistribute the platform itself.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
To the maximum extent permitted by law, JRiSpace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to Colekte in the twelve (12) months preceding the event giving rise to the claim.
12. Termination
- You may cancel your account at any time from your account settings.
- We may suspend or terminate your account for breach of these Terms, with notice where practicable.
- Upon termination, your right to use the Service ends. We may retain copies of your data as required by law or for legitimate business purposes, as described in our Privacy Policy.
13. Changes to These Terms
We may update these Terms from time to time. If the changes are material, we will notify you by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which JRiSpace operates, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction, and you agree to submit to their personal jurisdiction.
